Notes on the automatic renewal of upgrade contracts for purchase licences

Dear customers,

at the beginning of the new year we would like to remind you again about the automatic renewal of upgrade contracts for purchase licences (perpetual, opt-out) as part of the revised General Terms and Conditions of exocad GmbH, which they introduced in March 2019. What do I get out of upgrading my licence?
In fact, exocad improves the exocad software platform with each new version. For example, DentalCAD 3.0 Galway contains many sophisticated innovations - more precisely, over 90 new features and over 80 improved functions compared to the previous version. If you are still working with an older software version, you will not be able to access any of these new and interesting features.

What is the most cost-effective way to stay up-to-date?
When you purchase a new exocad licence, it already includes a one-year upgrade contract. The cheapest and easiest way for you to keep your software up to date afterwards is to renew the upgrade contract. The annual prices for an upgrade contract start at only 680 € (recommended retail price) for the standard version. This annual fee includes all upgrades and you can always benefit from all the features of the latest software version!

Which licences are covered by the automatic renewal of the upgrade contract?
Upgrade contracts for purchase licences (perpetual licence) are automatically renewed unless they are actively terminated ("opt-out").

The following licences receive an automatic renewal of the upgrade contract:
1. DentalCAD purchase licences registered on or after 1 September 2019.
2. DentalCAD purchase licences that have been upgraded within the scope of the Refresh Programme.
3. DentalCAD purchase licences that were upgraded on or after 1 September 2019 without a "Refresh Fee" via an upgrade agreement.

Will I receive information about upcoming automatic renewals?
You will receive an overview of your upgrade contracts that are subject to automatic renewal from Dental Support via email. Have you not received this yet? Request your list by sending an email to service@infinidentsolutions.com.

When will I be invoiced for the renewed upgrade contract?
You will receive the invoice at the beginning of the following month.

Example: The end of the contract period is 25 March. The new contract period starts on 26 March. You will receive the invoice for the upgrade contract at the beginning of April.

What happens if my upgrade contract has recently expired?
If your upgrade contract has expired within the last 90 days and you wish to upgrade back to the latest software version, please contact INFINIDENT immediately to pay only a one-time annual fee as part of the grace period. This will extend your upgrade contract for a further year, starting from the end date of the last contract.

What happens if my upgrade contract expired a long time ago?
If you have a perpetual licence and your upgrade contract expired a long time ago - no matter how long ago - you still have the possibility to get access to software upgrades at reasonable prices thanks to the new exocad Refresh programme. This involves a one-off refresh fee in addition to an annual fee, which is independent of the age and modules of your software licence. This is a great way to reactivate and upgrade old and expired licences at a price significantly lower than a new software licence.

You do not want an upgrade contract for your licence. How can I cancel an upgrade contract?
If you do not wish to benefit from keeping your licence under an upgrade contract, you can cancel the upgrade contract and its automatic renewal by sending an email to service@infinidentsolutions.com. This email should include the full serial number of the dongle. The Dental Support Team will cancel the upgrade contract within 2-3 working days.

Please note that the cancellation of the upgrade contract is effective immediately according to exocad terms and conditions. The right to upgrade the software and access to additional services such as library downloads and module activation ends immediately. We therefore recommend to terminate the upgrade contract shortly before the end of the contract period (see next question).

When is the latest time to terminate an upgrade contract?
To ensure that the termination can be carried out in time, exocad accepts a termination up to two days before the end of the contract period ("Free period end" and "Contract end"). In order to ensure a timely termination in any case, we request a written notice of termination up to 5 working days before the end of the contract period.

Example: The end of the contract term is 25 May. The new contract period starts on 26 May. We will accept your notice of termination until 20 May.

What happens if I cancel after the automatic renewal of the upgrade contract?
Cancellation shortly after licence renewal cannot be reversed and no refund is possible. You must pay the amount stated on the invoice.

What happens after I cancel the upgrade contract?
If you decide to cancel an upgrade contract, the right to upgrade the software and use various services ends immediately, but the licence remains permanently. You can therefore continue to use the last paid version of the software indefinitely.

Is it possible to withdraw from the cancellation?
It is not possible to cancel an upgrade contract. You must purchase a new upgrade contract.

What are the advantages of keeping a licence under an upgrade contract?
For you as a customer, there are the following advantages to keeping the software under an upgrade contract:

Does exocad charge an "opt-out" fee?
There is no "opt-out fee". You can cancel upgrade contracts at no additional cost.
